TERMS OF SERVICE

1. INTRODUCTION AND DEFINITIONS

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ChineseFor.Us, LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the ChineseFor.Us website, mobile applications, content, courses, and related services (collectively, the “Service”).

By accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Definitions:

• “Content” means all text, images, audio, video, or other material appearing on or through the Service.
• “User Content” means any Content uploaded, shared, or submitted by Users to the Service.
• “Subscription” means a recurring payment plan for access to the Service.
• “Course Materials” means all educational content provided through the Service.

Persons under 18 years of age (“Minors”) may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Company Content

All Content provided through the Service, including but not limited to Course Materials, videos, audio recordings, text, graphics, logos, lesson plans, and teaching methodologies, is owned by the Company or its licensors and is protected by copyright, trademark, and other intellectual property laws. The Company name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors.

2.2 Limited License to Users

Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial educational purposes only. This license does not include any right to:

• Modify, reproduce, or create derivative works based upon the Service or Content;
• Download (other than page caching or as explicitly permitted by the functionality of the Service) or store any Content;
• Resell, distribute, or publicly display any Content;
• Use data mining, robots, or similar data gathering methods;
• Use the Service or Content other than for their intended purposes.

2.3 User Content License

You retain all ownership rights to your User Content. By submitting User Content to the Service, you grant the Company a non-exclusive, royalty-free, worldwide, transferable license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content in connection with providing and promoting the Service. This license terminates when you delete your User Content or account, except to the extent necessary for the Company to comply with legal obligations or for limited archival purposes.

3. USER RESTRICTIONS AND RESPONSIBILITIES

3.1 Prohibited Activities

You agree not to:

• Access or use the Service for any illegal purpose;
• Impersonate another person or misrepresent your affiliation with any person or entity;
• Interfere with or disrupt the Service or servers or networks connected to the Service;
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service;
• Use any automated means, including bots, scrapers, or spiders, to access the Service;
• Circumvent, disable, or otherwise interfere with security-related features of the Service;
• Share your account credentials with others or allow multiple users to access the Service through a single account;
• Engage in any activity that could disable, overburden, damage, or impair the proper functioning of the Service;
• Resell, distribute, or sublicense access to the Service;
• Use the Service to store or transmit malicious code or conduct phishing activities;
• Copy, record, or capture Course Materials beyond what is necessary for personal educational use;
• Share access to Course Materials with non-subscribers.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4. SUBSCRIPTIONS AND PAYMENTS

4.1 Subscription Terms

We offer various subscription plans for access to the Service. By purchasing a subscription, you agree to the recurring payment terms specified at the time of purchase until the subscription is canceled.

4.2 Automatic Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew, and you authorize us to charge your payment method for the renewal term at the then-current rate.

4.3 Price Changes

We reserve the right to adjust pricing for our subscriptions or any components thereof in any manner and at any time as we may determine in our sole discretion. Any price changes will take effect following notice to you.

4.4 Refund Policy

For Initial Orders: We do not issue refunds for initial purchases. Before purchasing, we encourage users to explore our sample lessons for each course, which provide an accurate representation of our teaching methods and course structure.

For Renewal Orders: If you forgot to cancel your subscription and were charged, we may issue a refund if: (1) you contact us within 30 days of the charge date, and (2) no learning activity has occurred during that period. A processing fee charged by payment processors (e.g., Stripe, PayPal) may be deducted from any refund.

We reserve the right to make exceptions to this refund policy at our sole discretion.

5. CONTENT ACCESS AND AVAILABILITY

5.1 Dripped Content

For 1-month subscribers, immediate access is provided to the Character Course, Pinyin Course, Tone Course, and Day-1 Beginner Course. Access to the second half of Level 1 Course, Level 2 Course, and Level 3 Course will be available 32 days after initial purchase. This gradual release is designed to prevent unauthorized data extraction and align with typical language acquisition pacing.

5.2 Course Development and Updates

We are continuously developing new content for the Service. Currently, we are working on our Level 3 Course, which will include 50 lessons and 400 videos in total. While we strive to release new lessons (each lesson includes 3 topics and 4 videos) regularly, we do not guarantee specific release dates for upcoming lessons or courses.

After Level 3, we will continue to develop Level 4, 5, 6, and beyond. The amount of content in each HSK level increases exponentially. For example:

• The content of Level 2 is equivalent to: Beginner + Level 1 combined
• The content of Level 3 is equivalent to: Beginner + Level 1 + Level 2 combined
• and so on…

Your subscription grants you access to all existing content and any new content released during your active subscription period.

5.3 Service Availability

We aim to provide continuous access to the Service but do not guarantee uninterrupted access. We reserve the right to suspend or restrict access to some or all of the Service, temporarily or permanently, for maintenance, improvement, or other operational reasons, without notice or liability.

6. DISCLAIMERS AND WARRANTIES

6.1 No Guarantees of Results

While we strive to provide high-quality educational content, we make no guarantees regarding educational outcomes, language proficiency achievement, or the effectiveness of our teaching methods for individual users. Language learning progress depends on various factors, including individual effort, consistency, and aptitude.

6.2 “As Is” Service

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

6.3 Technical Issues

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected. We are not responsible for any loss, damage, or inconvenience caused by your inability to access or use the Service.

6.4 Third-Party Content

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

7. LIMITATION OF LIABILITY

7.1 Liability Cap

To the maximum extent permitted by applicable law, in no event shall ChineseFor.Us, LLC, or its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

7.2 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ChineseFor.Us, LLC, and its licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service’s content, services, and products other than as expressly authorized in these Terms.

9. TERM AND TERMINATION

9.1 Term

These Terms shall remain in full force and effect while you use the Service or maintain an account.

9.2 Termination by You

You may terminate your account at any time by following the instructions on the Service or by contacting customer support at info@chinesefor.us.

9.3 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

9.4 Effect of Termination

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. MODIFICATIONS TO TERMS OR SERVICE

10.1 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. The most current version will be posted on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

10.2 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. DISPUTE RESOLUTION

11.1 Informal Resolution

If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting us at info@chinesefor.us.

11.2 Arbitration

If the dispute cannot be resolved informally, you and ChineseFor.Us, LLC agree to resolve any disputes through binding arbitration in accordance with the American Arbitration Association’s rules for consumer-related disputes, rather than in court, except that you may assert claims in small claims court if your claims qualify.

11.3 Class Action Waiver

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

11.4 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Denton County, Texas.

12. PRIVACY

Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference and can be viewed at [Privacy Policy URL].

13. GENERAL PROVISIONS

13.1 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, at our sole discretion, without restriction.

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and ChineseFor.Us, LLC concerning the Service and supersede all prior agreements and understandings, whether written or oral, regarding the Service.
